Our total liability for any claims arising out of or relating to these Terms or our services shall not exceed the amount paid by you to us for services during the twelve months preceding the claim.

Indemnification

Termination

• You must immediately cease all use of our services
• You remain obligated to pay for all services rendered prior to termination
• Provisions that by their nature should survive termination shall survive

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California and the United States, without regard to conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Los Angeles County, California, and the parties irrevocably consent to the personal jurisdiction and venue therein.

Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue other available remedies.

Changes to Terms

Waiver

No waiver by IJS AUTO SERVICES LLC of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
